Excerpt from A Concise Treatise on the Law of Corporations: Having Capital Stock: Including Manufacturing Corporations and Business Corporations, Insurance Companies, Guaranty Companies, Banks, Safe Deposit Companies, Trust Companies, Railroad Companies, Plank Road Companies, Gas-Light Companies, Bridge Companies The object of this work is to present, in a concise form, a guide to all the general laws regulating the organization and management of stock corporations in the State of New York. With the passage of the Business Act in 1875, and die act for the formation of safe-deposit companies, passed the same year, it became possible to organize a corporation under the general laws for any purpose except that of transacting the business of trust companies. This omission was supplied in 1887 and a corporation may now be formed under the general laws for the purpose of carrying on any lawful business. The Manufacturing Act of 1848 and the Business Act of 1875 are the ones under which a large proportion of all the corporations of this state arc organized, and these acts consequently receive a fuller treatment than is given to others. The laws pertaining to banks, insurance companies, railroads, etc., are considered so far as they regulate the organization and management of corporations formed under them as corporations, - the mass of rules and regulations affecting such companies simply as transacting the business provided for in the above acts being omitted. By thus limiting the scope of the work, it becomes possible within a moderate compass to consider the whole body of the statute law of this state affecting corporations, as such, and the interpretation which the courts have placed upon such statutes.
