Very large sums of money in the aggregate are annually invested in such ventures by persons who must necessarily rely more or less upon the good faith and integrity of those engaged in promoting them. The promoters" have in their hands the creation and moulding of the corporation; they have the power to define how and when, and in what shape, and under what supervision, it shall start into existence and begin to act as a corporation." The material facts in relation to the undertaking are often exclusively within their knowledge. In view of these conditions, it is apparent that the question of the reciprocal rights and obligations of the promoter and the corporation, and of the shareholder and the promoter, is of great practical importance; and it would seem to be worthy of fuller treatment than that which has been accorded to it in the text-books on the law of corporations.
