Excerpt from By-Laws of Private Corporations The law pertaining to by-laws has never, I believe, been made the subject of any other book except Lumley on By Laws, and that work is exclusively English, and has little if anything to say in regard to the by-laws of private corporations, being concerned with the ordinances of municipal or quasi municipal corporations. In the present work, I have confined myself to the subject of by-laws of private corporations and associations. When I have ventured somewhat beyond the scientific limits of the subject, it has been with a view to rendering the work more useful to mutual insurance and building and loan associations. The general by-laws found in the Appendix are mainly framed from those which the author has had occasion to draw from time to time for the use of clients. As stated in the Appendix, these forms must be taken rather as suggestions than as models, since no one set of by-laws can be so framed as to be suitable for all corporations. In this edition there has been also inserted in the Appendix copies of the by-laws of two of our great industrial corporations, - the Standard Oil Company and the Federal Steel Company. The nine years that have passed since the first edition at this work was published have been so fruitful in corporation decisions that I have been able to double the number of citations to adjudicated cases.
